- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT OF INTELLECTUAL PROPERTY
- ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
- UNINTERRUPTED OR ERROR-FREE SERVICE

WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR:

- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM:
- USE OR INABILITY TO USE THE SERVICES
- UNAUTHORIZED ACCESS TO OR USE OF OUR SYSTEMS
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY
- ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE PAST SIX MONTHS.

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

- Your use of and access to the Services
- Your violation of these Terms
- Your violation of any third-party right, including intellectual property rights
- Your violation of any applicable law or regulation
- Any User Content you post or transmit through the Services

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you will cooperate with our defense of these claims.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you hereby consent to personal jurisdiction and venue in such courts.

We make no representation that the Services are appropriate or available for use in other locations. Those who access or use the Services from other jurisdictions do so at their own volition and are responsible for compliance with local law.

### 14.1 Informal Resolution
Before filing a claim, we each agree to try to resolve the dispute informally. You must send a written notice of dispute to us that includes your contact information and description of the dispute. We will attempt to resolve the dispute informally within 60 days.

### 14.2 Binding Arbitration
If we cannot resolve the dispute informally, we each agree to resolve any claims relating to these Terms through final and binding arbitration. The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

### 14.3 No Class Actions
You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.

### 15.1 Entire Agreement
These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings.

### 15.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

### 15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

### 15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

### 15.5 Force Majeure
We shall not be liable for any failure to perform our obligations due to events beyond our reasonable control.
